    “The assured buyback scheme, extended warranty scheme, and any connected offers, promotions, or other services related thereto (the “Scheme”) are provided solely and exclusively by UTC Digital Technologies Private Limited (“Digi2L”). To the extent permissible under applicable law, Godrej & Boyce Manufacturing Company Limited (“Godrej”) expressly disclaims all warranties in connection with the Scheme. You agree that the products and services are provided to you on an “as-is” basis and you shall not assert any claims or initiate any legal proceedings against Godrej for any losses incurred by you through the use of your product. You agree that you are using this product at your own consent and aware of these terms.”

    The exchange offer (“Offer”) or Smart Sell shall be valid only up to the validity period as stated in the Partner’s communication from time to time
    By agreeing to avail the benefits under the Offer, you hereby represent, warrant, and covenant that:

    1. You are the sole, absolute and lawful owner of the product being returned (“Used Product”) and you confirm that the Used Product was exclusively for personal use, and not for business or commercial use;
    2. The maximum price quote for the used product shall be offered in accordance with the following (the final and exact price quote shall be communicated after and will be based on the actual condition of the used product, as assessed and verified by UTC’s QC-team):

    3. By accepting the price quote, you have also accepted and confirmed that the value of the Used Product will be provided to you in the form of Partner’s Voucher or Online Cash issued by UTC Digital Technologies Pvt Ltd., which is redeemable only against the purchase of any Partner’s products or Directly with Digi2L respectively.
      Please note that in the case of the redemption of such Partner Vouchers issued to you at the Partner’s authorized dealer stores will be applied during checkout of the purchase transaction for you to avail of the benefit of the Offer. The Value of the Partner’s Voucher will be determined in good faith as per your declaration about the Used Product’s working condition. The same will be governed by the UTC representative during the Quality check process. In case of any difference in the Quality of the Used Product the difference amount shall become payable immediately.
    4. The Used Product along with all accessories, wherever applicable, under the Offer is genuine and is not counterfeit, free from any and all encumbrances, liens, attachments, disputes, legal flaws, exchange or any agreement of sale etc.
    5. Wherever applicable, the details of the Used Product, including its condition, are as stated at the time of availing the Offer. In case of a false declaration about the condition of the product, the difference amount shall be payable immediately.
    6. The classification of the condition of the used product(s) shall be performed in accordance with the following:

    7. The Used product would be deemed as a Non-working Product in the following conditions:
      1. For TVs– Cracks on the screen, discoloration, spots, lines, or patches on the screen
      2. For ACs– The compressor not working, the Outdoor unit is rusted, Indoor unit fins are choked.
      3. For WM’s– The control panel not working, the drum not working, or making noise.
      4. For Refrigerators– Low cooling in any of the compartments, Compressor not working, Body cracked or rusted
    8. The Used Product should not be damaged, broken, or otherwise tampered with. The Used Product should match the details entered while placing the order (with Exchange), where applicable, and will be validated during Quality check or by the pick-up associate.

    You further confirm that:

    1. At the time of pick-up, the Used Product should already be kept uninstalled.
    2. You agree to indemnify and keep indemnified UTC and its affiliates, applicable service providers, the buyback partner, and any future purchaser of the Used Product against all or any third party claims, demand, cost, expenses including attorney fees which may be suffered, incurred, undergone and/or sustained by UTC, its affiliates, applicable service providers, the buyback partner or any future purchaser due to usage of the Used Product by you;
    3. You are not returning a different product or if the Used Product does not meet the conditions prescribed herein or if the condition of the Used Product is different from the condition specified at the time of availing the Offer; and
    4. Any breach of these Offer terms and conditions.
      1. You understand that Used Product pickup will happen simultaneously (hand in hand) along with the new product delivery and you shall keep the Used Product ready to be un-installed (if applicable) and given for exchange. In the event you refuse to provide the Used Product or if it is determined at the time of pick-up that the Used Product is different or does not conform to the conditions specified by you in your declaration of the Quality or the Used Product cannot be un-installed by the pick-up associate, where applicable, you agree that the transaction and the Offer availed by you may be cancelled or if you wish, converted to a regular order as per the process set out below.
      2. In the event you decide not to proceed with the exchange transaction and retain the Used Product or if the Used Product is different or does not conform to the conditions specified or cannot be un-installed by the delivery associate, you may request UTC, to convert the transaction to a regular order. If you elect to avail such option:
        1. You need to pay the value provided to you for the Used Product as part of the transaction and Offer;
        2. You may pay the value of the Used Product by
          1. providing cash to the pick-up associate;
          2. making a credit card or debit card payment using the mPOS device with the pick-up associate; or
          3. through UPI;

          You hereby give your consent that your personal information that you have provided in connection with this Offer might be processed, transferred and retained by UTC in managing and administration of the Offer.

        3. You understand that your eligibility for the additional features of the Offer or a greater value will solely be determined by the results of the Quality checks or diagnostics performed in accordance with the terms, hence such determination cannot be challenged by you, however you are at liberty not to avail the additional features of the Offer should you disagree with the price determination;

          4. You understand that once the Used Product is sent for exchange under the Offer, under no circumstance can the Used Product be returned back to you. In the event you return the new product purchased under the Offer, the Used Product will not be returned to you.

        Assured BuyBack:

You agree that you are using this product at your own consent and aware of these terms.

        1. DEFINITIONS

          In addition to the terms defined elsewhere in this Agreement, the following terms have the following meanings for purposes of this Agreement:

          1. PRODUCT – The consumer item covered by this Agreement.
          2. PRODUCT RETAIL PRICE – The actual cost You paid to the Retailer for the Product, not including any additional accessories, peripherals, software, or services. The Product Retail Price is net of any instant savings but is not net of any mail-in rebates or other offers. The foregoing notwithstanding, if Your Product is a mobile phone, Your Product Retail Price is net of any instant savings except carrier discounts but is not net of any mail-in rebates, carrier discounts, or other offers.
          3. SERVICE FEE – The fee that You paid or the Manufacturer, Retailer paid for the Plan, as specified on Your receipt, the Materials, or in the online terms of sale, as applicable.
          4. EXPIRATION DATE – The last date upon which You may return the Product to UTC DIGITAL TECHNOLOGIES PVT LTD.
          5. PLAN PERIOD – The period commencing on the Effective Date of this Agreement and ending on Expiration Date (the “Plan Period”), during which the Plan can be exercised. The Plan Period is subdivided into a number of sub-periods (“Subperiods”), as described in this Agreement, on the Materials, or in the online terms of sale, as applicable.
          6. BUYBACK AMOUNT – The amount UTC DIGITAL TECHNOLOGIES PVT LTD agrees to pay You for the Product, if You exercise the Plan within the Plan Period, subject to the terms of this Agreement, such amount to be paid to you by UTC DIGITAL TECHNOLOGIES PVT LTD in the form of store credit valid at the Retailer through which You purchased Your Product and this Plan, or in the form of cash voucher issued at the time of the purchase of goods at the Retailer, or in the form of a bank transfer if no store credit or rebate program is available through the Retailer. The Buyback Amount changes based on both the Subperiod during which the Product is returned and the condition of the Product as follows:
            1. FIRST PERIOD. The time period from the 6th month after the purchase date of the Plan to Twelve (12) months after the purchase date of the Plan. During the First Period, the Buyback Amount will be 60% of the Product’s Retail Price, subject to the condition of the Product.
            2. SECOND PERIOD. The time period from Thirteen (13) months after the purchase date of the Plan to twenty-four (24) months after the purchase of the Plan. During the Second Period, the Buyback Amount will be 50% of the Product’s Retail Price, subject to the condition of the Product.
            3. THIRD PERIOD. The time period from twenty-five (25) months after the purchase date of the Plan to thirty-six (36) months after the purchase date of the Plan. During the Third Period, the Buyback Amount will be 40% of the Product’s Retail Price, subject to the condition of the Product.
            4. FOURTH PERIOD. The time period from thirty-seven (37) months after the purchase date of the Plan to forty-eight (48) months after the purchase date of the Plan. During the Fourth Period, the Buyback Amount will be 30% of the Product’s Retail Price, subject to the condition of the Product.
            5. FIFTH PERIOD. The time period from forty-nine (49) months after the purchase date of the Plan to sixty (60) months after the purchase date of the Plan. During the Fifth Period, the Buyback Amount will be 20% of the Product’s Retail Price, subject to the condition of the Product.

        2. GRANT OF BUYBACK OPTION.

          UTC DIGITAL TECHNOLOGIES PVT LTD hereby grants to You an option to sell to UTC DIGITAL TECHNOLOGIES PVT LTD, and UTC DIGITAL TECHNOLOGIES PVT LTD hereby agrees to buy, the Product at a Buyback Amount according to the schedule set forth in this Agreement, on the Materials, or in the online terms of sale, as applicable, subject to the conditions set forth in this Agreement.

        3. EXERCISE

          WHEN YOU ARE READY TO CLAIM YOUR BUYBACK AMOUNT. You may exercise this Option by (a) notifying UTC DIGITAL TECHNOLOGIES PVT LTD through the UTC DIGITAL TECHNOLOGIES PVT LTD website and (b) Post successful inspection of the product by UTC DIGITAL TECHNOLOGIES PVT LTD, during the Plan Period, provided that You are not in breach of any of the terms of this Agreement.

        4. PICK-UP TERMS
          1. UTC DIGITAL TECHNOLOGIES PVT LTD WILL PICK UP THE PRODUCT FROM YOUR DOORSTEP (within the live pin codes of operations) after receiving acknowledgment from you and a successful inspection of the product to qualify for working condition. (i) Customers can notify through an interface on the UTC DIGITAL TECHNOLOGIES PVT LTD website, or (ii) by calling the UTC DIGITAL TECHNOLOGIES PVT LTD number. Please allow approximately 5 days for pickup of the product. It is solely Your responsibility to request for availing the buyback option within the deadlines in this Agreement to enable pick up of the Product by UTC DIGITAL TECHNOLOGIES PVT LTD on time.
          2. PRODUCT PACKING. Our service partners will be packing and shipping the Product in a manner that ensures that it will not be damaged during shipment and will bear all risk of loss to the Product, including damage during shipping, until the Product is actually received by UTC DIGITAL TECHNOLOGIES PVT LTD.
          3. RISK OF LOSS. The risk of loss shall pass to UTC DIGITAL TECHNOLOGIES PVT LTD upon receipt of the Product by UTC DIGITAL TECHNOLOGIES PVT LTD.
        5. TIME OF ESSENCE

          FAILURE TO EXERCISE. Time is of the essence in this Agreement and is a material term of the Agreement. PRODUCT RETURNED DURING LATE FEE PERIOD. If You fail to exercise the Plan during the Plan Period, you shall have thirty (30) days from the Expiration Date to avail of the buyback offer (“Late Fee Period”). If the Product is returned during the Late Fee Period, UTC DIGITAL TECHNOLOGIES PVT LTD will reduce the Buyback Amount associated with the last Subperiod by 20%, unless an exception has been granted by UTC DIGITAL TECHNOLOGIES PVT LTD.

        6. PAYMENT

          1. PAYMENT – Payment of the Buyback Amount to You by UTC DIGITAL TECHNOLOGIES PVT LTD constitutes fulfillment of all of UTC DIGITAL TECHNOLOGIES PVT LTD’s obligations under this Agreement and terminates this Agreement.
          2. TIMING – Payment of the Buyback Amount by UTC DIGITAL TECHNOLOGIES PVT LTD shall be made within seven (7) days following receipt of the Product by UTC DIGITAL TECHNOLOGIES PVT LTD, subject to the Acceptance Testing set forth in Paragraph
          3. Upon UTC DIGITAL TECHNOLOGIES PVT LTD’s successful completion of Acceptance Testing, all rights, titles, and interest in the Product will shift to UTC DIGITAL TECHNOLOGIES PVT LTD.
          4. TAX – You are responsible for paying and accounting for any tax that may apply to You in Your home state for the sale of the Product to UTC DIGITAL TECHNOLOGIES PVT LTD. UTC DIGITAL TECHNOLOGIES PVT LTD makes no representations or warranties regarding Your possible sales tax liabilities for this transaction. All sales tax liabilities for Your sale of the Product to UTC DIGITAL TECHNOLOGIES PVT LTD are solely Your responsibility.

        7. MAINTENANCE, REPAIR, NO WARRANTY, LOSS

          d. TAX – You are responsible for paying and accounting for any tax that may apply to You in Your home state for the sale of the Product to UTC DIGITAL TECHNOLOGIES PVT LTD. UTC DIGITAL TECHNOLOGIES PVT LTD makes no representations or warranties regarding Your possible sales tax liabilities for this transaction. All sales tax liabilities for Your sale of the Product to UTC DIGITAL TECHNOLOGIES PVT LTD are solely Your responsibility.

        8. ACCEPTANCE TESTING

          If You exercise the Plan in accordance with the terms of this Agreement, UTC DIGITAL TECHNOLOGIES in its sole discretion or the discretion of any of its agents reserves the right to do relevant deductions if any of the following conditions are not met: PLEASE NOTE that UTC DIGITAL TECHNOLOGIES will not make a claim on any warranty plan on Your behalf. You must make any warranty claim before sending the Product to UTC.

          1. GOOD. The Product is fully functional, with normal visible wear and tear. The Product must be returned with all components, remote controller, original software, and all other accessories that were originally shipped with the Product. If THE UTC DIGITAL TECHNOLOGIES PVT LTD grades the Product as Good, no adjustment will be made to the Buyback Amount
          2. POOR. The Product has one or more of the following issues: 1. The Product has sustained minor functional damage or product failure that can be easily repaired; 2. One or more of the Product’s minor components, peripherals, or accessories is missing or damaged but can be easily repaired or replaced; 3. The Product has more than normal visible wear and tear, including, but not limited to, cracks, dents, scratches, dirt,, and user-added stickers. If THE UTC DIGITAL TECHNOLOGIES PVT LTD grades the Product as Poor, the Buyback Amount will be adjusted down by 50%.
          3. The Used Product along with all accessories, wherever applicable, under the Offer is genuine and is not counterfeit, free from any and all encumbrances, liens, attachments, disputes, legal flaws, exchange or any agreement of sale etc.

            The price mentioned in the aforementioned table will be deducted if the Customer doesn’t submit the working Remote to Digi2L when opting for ABB Redemption. The deductions will only be made from the Guaranteed Buyback Price which is to be offered to the customer based on the Terms and Conditions.

            Wherever applicable, the details of the Used Product, including its condition, are as stated at the time of availing the Offer. In case of a false declaration about the condition of the product, the difference amount shall be payable immediately.

            Eg: if the customer is supposed to receive 50% of the Invoice Price (after Quality Check) for its Normal TV and is not able to submit the working remote the price offered will be as follows: 50% of invoice – 400/-.

        9. REJECTED PRODUCT

          If the Product is considered to be a Rejected Product, the Plan will be terminated with no refund of Your Service Fee or payment of the Buyback Amount, and you will be notified at your site at the time of inspection and you will receive an e-mail notification regarding the same
